Typical Transactional Endeavors of Scott W. Blek

POWER DEVELOPMENT
 

•  Pico Power Project (Santa Clara, CA)

 
  Mr. Blek currently acts as transactional counsel for the Pico Power Project, a 135 MW power facility currently being constructed in the City of Santa Clara. Mr. Blek has prepared a comprehensive Request for Bidders (RFB) for the construction of a 2-mile natural gas pipeline that will serve the project. Presently, Mr. Blek is negotiating an agreement with the Bay Area Air Quality Management District to fund a wood stove retrofit/replacement program to ensure sufficient emissions offsets for the Project. Additionally, Mr. Blek drafted an agreement to create a land trust to support compliance with the Endangered Species Act.
 

•  Roseville Energy Park (Roseville, CA)

 
  Mr. Blek currently acts as transactional counsel for the Roseville Energy Park, a 160 MW power facility to be constructed in the City of Roseville. Mr. Blek is preparing the public contracting documents and Request For Bid documents for purchase of the power island equipment as well as the EPC agreement for turnkey construction. Mr. Blek has also negotiated and drafted agreements to secure existing Emission Reduction Credits and creation of new emission reductions for use as plant offsets.
 

•  Tri Energy Company Project (Bangkok, Thailand)

 
  Mr. Blek served as lead counsel for Texaco Inc. on the development of the TECO Project, a 700 MW power facility located near Bangkok, Thailand. Mr. Blek drafted the Shareholders' Agreement for the project company, and was actively involved in the negotiation of the major commercial contracts, including the power purchase agreement, the EPC contract, and the project finance loan agreements.
 

•  Sunrise Power Project (Bakersfield, CA)

 
  Mr. Blek served as lead counsel for Texaco Inc. on the development of the Sunrise Power Project, a 560 MW combined-cycle power facility located near Bakersfield, California. Mr. Blek, along with Mr. Galati, worked with members of the California Energy Commission and the San Joaquin Air Pollution Control District to obtain the Sunrise project license. In addition, Mr. Blek drafted the Ground Lease, access easements and rights of way for the project company, and was actively involved in the negotiation of the major commercial contracts, such as the turbine purchase agreement and the EPC contract.

When Texaco Inc. sold the project in November 2000 to Edison Mission Energy, Mr. Blek was lead counsel for Texaco Inc. on the sale, handling due diligence matters, as well as negotiating the Stock Purchase Agreement and related documents. Mr. Blek later represented ChevronTexaco Corporation in June 2001, whereby ChevronTexaco bought back a 50% interest in the Sunrise Power Project.

 

•  Anyang & Buchon Power Plants & District Heating Facilities (Seoul, Korea)

  Mr. Blek served as lead counsel for Texaco Inc. on the purchase of the Anyang and Buchon power plants and district heating facilities near Seoul, Korea. The purchase closed in August 2000 for approximately US$700,000,000. Mr. Blek drafted the Shareholders' Agreement for the project company, and was actively involved in the negotiation of the major commercial contracts, including the purchase and sale agreement, the power purchase agreement, the fuel supply agreement, the operations and maintenance agreement, and the project financing documents.
 

•  Blythe I Power Project (Blythe, CA)

 
  Mr. Blek served as transactional counsel on the Blythe I power project, a 520 MW combined-cycle facility near Blythe, California. Mr. Blek worked on various agreements, including a Community Benefits Agreement, a City Funding Agreement and a Landscape Easement.
 

•  Blythe II Power Project (Blythe, CA)

 
  Mr. Blek currently acts as transactional counsel for the Blythe II power project, a proposed 520 MW combined-cycle plant to be built near Blythe, California. Thus far Mr. Blek has drafted a City Memorandum of Understanding and a Community Benefits Agreement. Mr. Blek also drafted and negotiated an ERC Purchase and Sale Agreement with the Colorado River Indian Tribes.
 

•  Tesla Power Project (Alameda County, CA)

 
 

Mr. Blek provides transactional services for the Tesla Power Project, a proposed 1,120 MW power plant to be built near Tracy, California. Most notably, Mr. Blek drafted an Air Quality Enhancement Agreement between the project company and the San Joaquin Valley Air Pollution Control District.

 

POWER OPERATION & MAINTENANCE
 

•  Operational Facilities

 
  Mr. Blek performs transactional work for ten (10) power and cogeneration facilities currently operating in California, Washington and Nevada. Such work includes contract drafting and negotiation (e.g., contractor work agreements, equipment purchase and rental contracts, excess power sales agreements, etc.), corporate governance (e.g., corporate resolutions, joint venture or partnership agreements, etc.), and other matters related to plant operations and maintenance, such as environmental, health and safety issues.

Mr. Blek also performs transactional services for a syngas facility in Singapore.
